The rules for using SceneSync.

1. Who these terms are between

These Terms of Service ("Terms") constitute a legally binding agreement between you and SceneSync Technologies ("SceneSync", "we", "us", or "our"), operating the digital automated video creation platform accessible at scenesync.me.

By creating an account, purchasing credit packs, or using any part of the service, you accept and agree to be bound by these Terms, together with our Privacy Policy. If you do not accept these Terms, do not access or use the service.

You must be at least 18 years of age, or have reached the legal age of majority in your jurisdiction, to create an account or transact on SceneSync.

2. What SceneSync does

SceneSync provides an automated video production studio that accepts creator-supplied scripts, visual media (images/videos), voice models, and narration audio, automatically aligns visual timing with narration via acoustic transcription, synthesizes speech, generates synchronized captions, and renders finished high-definition video files. You remain solely responsible for the content you upload, review, configure, and publish using the service.

3. Your account

  • Keep your login credentials confidential and do not share your account access with third parties.
  • Provide accurate, complete, and up-to-date information during registration and profile management.
  • You are solely responsible for all activities and compute operations initiated under your account credentials.
  • Notify us immediately at support@scenesync.me if you suspect any unauthorized access, breach, or compromise of your account.

4. Credits, payments, usage metering and refunds

  • Prepaid Credits Model: SceneSync operates on a transparent prepaid credit ledger. You purchase one-time credit packs, and billable compute operations spend directly from your credit ledger. There are no recurring subscription fees, hidden monthly charges, or automatic renewals.
  • Usage Metering by Actual Consumption: Operational compute costs are tied to specialized artificial intelligence infrastructure (including AssemblyAI speech transcription, Fish Audio neural voice synthesis, and cloud video rendering clusters). Billable operations are metered accurately as follows:
    • Audio transcription & timeline alignment: metered per minute of audio processed.
    • Text-to-speech narration: metered per character of text synthesized.
    • Video rendering & compilation: metered per minute of finished video rendered.
  • Balance Pre-check & Post-Operation Debit: Before initiating computationally intensive jobs, SceneSync verifies that your balance meets the required reserve threshold. Credits are deducted from your balance only upon successful completion, calculated strictly against your actual measured consumption. If an operation encounters a fatal system failure, no credits are deducted.
  • No Expiration: Purchased credits never expire. Your credit balance remains permanently available for future projects as long as your account remains active.
  • Non-Refundable Policy: Because dedicated third-party artificial intelligence compute resources and cloud GPU pipelines are allocated and incurred in real time upon execution, all credit pack purchases are final and non-refundable once credited to your account, except where required by applicable consumer protection laws or granted at our sole discretion.
  • Payment Security: Online transactions are processed through Paystack, a PCI-DSS certified payment gateway with bank-grade 256-bit SSL encryption. SceneSync does not store, process, or have access to your full credit/debit card numbers or bank account PINs.
  • Rate Adjustments: Credit package rates may be adjusted from time to time to reflect underlying infrastructure costs. Any rate adjustments apply exclusively to future purchases and operations and never retroactively affect previously credited balances.

5. Your content and intellectual property

You retain full ownership and all intellectual property rights in the original scripts, images, audio assets, and project materials you upload to SceneSync, as well as the finished video productions generated from your content.

You grant SceneSync a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, and render your uploaded media solely to the extent necessary to deliver the service to you, including transmitting media to our authorized infrastructure subprocessors as described in our Privacy Policy.

You warrant and represent that you own or have obtained all necessary licenses, permissions, and rights for all uploaded content—including copyright for background music, stock imagery, third-party text, and voice recordings—in compliance with the Nigerian Copyright Act 2022 and applicable international copyright laws.

6. Voice cloning and synthetic audio ethics

Voice cloning capabilities must strictly be used with the informed consent of the individual whose voice is sampled. You must not clone, synthesize, or replicate a voice without explicit legal authorization. You are strictly prohibited from using cloned voices to impersonate public figures, create fraudulent communications, facilitate deception, or mislead audiences regarding statements not made by the original speaker.

7. Acceptable use policy

You agree not to use SceneSync to generate, process, or disseminate any material that:

  • is unlawful, defamatory, libelous, or infringes the intellectual property or privacy rights of any person;
  • involves child sexual abuse material (CSAM), exploitation of minors, or non-consensual sexual content;
  • impersonates real individuals or entities in a deceptive or malicious manner;
  • promotes cybercrime, phishing, financial fraud, or Ponzi/pyramid schemes, in violation of the Cybercrimes (Prohibition, Prevention, etc.) Act 2015 (as amended 2024);
  • incites violence, ethnic hatred, public disorder, or discrimination against any protected group;
  • knowingly spreads disinformation regarding public elections, healthcare crises, or national security emergencies.

You also agree to adhere to the community guidelines and terms of third-party distribution platforms (such as YouTube, TikTok, Instagram, and Meta) where you publish rendered videos. Compliance with downstream platform policies is solely your responsibility.

SceneSync reserves the right to immediately suspend or terminate accounts found in breach of this Acceptable Use Policy and cooperate with law enforcement authorities where legally mandated.

8. Third-party services and infrastructure

Video generation and rendering depend on third-party speech recognition, voice synthesis, and cloud computing infrastructure. While we partner with tier-1 providers to ensure maximum uptime and reliability, SceneSync is not liable for temporary third-party network disruptions or provider outages. If an active render job fails due to an upstream provider error, your credits for that failed operation will be automatically refunded or protected.

9. Availability and modifications

We strive to provide continuous platform availability, but we do not guarantee uninterrupted, error-free operation. We may periodically update, enhance, or modify features. If SceneSync permanently discontinues the service, we will provide reasonable advance notice to registered users and arrange for the redemption or refund of verified, unused paid credit balances.

10. Account suspension and closure

  • You may close your account at any time through your account settings or by contacting customer support.
  • We may suspend or terminate your account if you materially breach these Terms, engage in fraudulent transactions, or if your usage threatens system security or other users.
  • Upon account termination, we delete user assets in accordance with our data retention schedule outlined in our Privacy Policy.

11. Disclaimers

SceneSync is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. We do not warrant that video output will satisfy specific artistic outcomes, guarantee audience engagement, or guarantee channel monetization on third-party video platforms.

12. Limitation of liability

To the maximum extent permitted by applicable law, SceneSync's aggregate liability arising out of or related to your use of the service shall not exceed the total amount paid by you to SceneSync in the twelve (12) months preceding the event giving rise to liability. In no event shall SceneSync be liable for indirect, incidental, special, punitive, or consequential damages, including loss of business profits, goodwill, data loss, or third-party platform monetization suspensions.

Nothing in these Terms excludes or limits liability for fraud, willful misconduct, or any statutory consumer rights that cannot lawfully be waived under the Federal Competition and Consumer Protection Act (FCCPA) 2018.

13. Indemnification

You agree to defend, indemnify, and hold harmless SceneSync, its operators, directors, and affiliates against any third-party claims, damages, liabilities, and expenses (including legal fees) arising from content you upload, unauthorized voice cloning, your violation of third-party intellectual property, or your breach of these Terms.

14. Amendments to Terms

We may update these Terms from time to time to reflect regulatory changes or platform updates. We will notify you of material changes via email or an in-app notification before they become effective. Continued use of SceneSync following such notice constitutes acceptance of the revised Terms.

15. Governing law and dispute resolution

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising under or in connection with these Terms shall first be submitted to good-faith amicable negotiation. Where a dispute cannot be resolved amicably within thirty (30) days, the courts of Lagos State, Nigeria shall have exclusive jurisdiction.
